Online Technologies Purchases Adia Information Management Corporation

Acquisition of products, people and place part of OTC’s overall growth strategy.

January 23, 2004 - Ann Arbor, Mich. -- Online Technologies Corporation (OTC) announced today that they have purchased Adia Information Management Corporation from its founder Steve Heintz for an undisclosed amount. The deal includes Adia’s products and personnel, as well as office and data center space located in downtown Ann Arbor’s City Center building.

“This is a good deal for OTC on many levels. But first and foremost it helps satisfy our strategic plan for growth,’’ said Yan Ness, CEO and president at OTC. “The office and data center space is ideally located in downtown and will prove invaluable as we and our customers continue to grow.”

OTC’s business plan now includes aggressive expansion into much of the Great Lakes Region, from Cleveland, Ohio, to Gary, Indiana, Ness said. He estimates there are 20,000 small- to medium-sized companies in the region that could use OTC’s services.

“We are much more than just a data center,’’ Ty Myers, vice president of sales at OTC said. “We bring our Internet business model to an existing company’s product or service and help them cut their costs and make more money. With Adia, we picked up a Web-based product called ManagePoint, which has a CRM front end. By adding ManagePoint to our portfolio we can further differentiate ourselves as a one-stop Internet source. We also picked up some big customers with the deal—like Weight Watchers.”

 The Adia deal also includes retaining Farooq Ahmed—ManagePoint’s chief architect. But Adia founder Steve Heintz did not join OTC. Heintz, 26, a native of Gaylord and the 2004 Michigan Entrepreneur of the Year, sold a portion of Adia last year—including its CareNet asset—to Netsmart Technologies for $2 million. After the CareNet sale, Heintz spoke with Ness.

 “I talked with Yan a month ago about OTC’s desire to expand to downtown,” Heintz said. “Things moved pretty quickly.”
